1. Introduction

These Terms and Conditions govern access to and use of fcmaterials.com, including product enquiries, quotation requests, sample requests, document requests and purchases from FC Materials Sdn. Bhd.

In these Terms:

  • “FC Materials”, “we”, “us” and “our” refer to FC Materials Sdn. Bhd.
  • “Customer”, “you” and “your” refer to the person, company or organisation accessing the website, requesting a quotation or purchasing products or services from us.
  • “Products” include raw materials, ingredients, samples, prototypes, formulations and other products supplied by us.

By accessing the website, submitting an enquiry, accepting a quotation or placing an order, you agree to these Terms.

2. Business-to-Business Supply

FC Materials primarily supplies products and services to businesses, including manufacturers, brand owners, distributors, laboratories, product developers and other commercial organisations.

Unless expressly stated otherwise, products listed or supplied by us are raw materials intended for manufacturing, formulation, research, development or other professional applications.

Products must not be consumed, administered or applied directly unless they are specifically supplied and labelled for that purpose.

By placing an order, you confirm that:

  1. you are authorised to act on behalf of the organisation named in the enquiry or order;
  2. the information you provide is accurate and complete;
  3. you have the technical knowledge and facilities required to handle and use the products safely; and
  4. you are responsible for determining whether the products are suitable and lawful for your intended application.

3. Website Information

Information published on the website is provided for general commercial, educational and technical reference.

Product descriptions, images, applications, specifications, certifications, availability, test results and other information may be updated or corrected without prior notice.

Product images are for illustration purposes and may not represent the exact product, packaging, colour, appearance or batch supplied.

Information displayed on the website does not constitute a binding offer, guarantee of availability or confirmation that a product is suitable for a particular application.

A binding transaction is formed only when an order is accepted by FC Materials through a written quotation acceptance, sales confirmation, sales order, pro forma invoice, invoice or other written agreement.

4. Quotations and Sales Terms

All prices, payment terms, delivery arrangements, return conditions, product specifications and other commercial terms are subject to the applicable quotation or sales terms issued by FC Materials.

Unless otherwise stated in the quotation:

  1. quotations are valid only for the period stated;
  2. prices are based on the requested quantity, specification, packaging, currency exchange rate, freight cost and supply conditions at the time of quotation;
  3. quoted prices may change if the quantity, specification, delivery address or other requirement changes;
  4. products remain subject to stock availability and supplier confirmation;
  5. a quotation does not reserve stock; and
  6. taxes, delivery charges, customs duties, bank charges and other costs may be charged separately.

We may revise or withdraw a quotation before an order is accepted.

Where there is an inconsistency between these Terms and a quotation, sales confirmation, invoice, supply agreement or other written sales term issued by FC Materials, the specific written quotation or sales term shall take priority for that transaction.

5. Orders

An order submitted by purchase order, email, website form, telephone, WhatsApp or another electronic method constitutes an offer to purchase.

Orders are subject to acceptance by FC Materials.

We may reject, suspend or modify an order where:

  • a product is unavailable;
  • the minimum-order quantity has not been met;
  • product or pricing information contains an error;
  • credit approval has not been obtained;
  • payment has not been received;
  • delivery is unavailable to the requested location;
  • the requested application presents a safety, legal or regulatory concern; or
  • the order does not comply with the relevant quotation or sales terms.

Customers must review all order details, including the product name, grade, specification, quantity, packaging, price, billing information and delivery address.

FC Materials must be informed promptly of any error.

6. Prices and Taxes

Prices are stated in the currency shown in the applicable quotation or invoice.

Unless expressly included in the quotation, prices exclude:

  • sales and service tax and other applicable taxes;
  • delivery, freight, insurance and handling charges;
  • customs duties, import permits and clearance charges;
  • repacking, laboratory testing and special documentation fees;
  • payment-processing fees; and
  • bank or foreign-exchange charges.

The customer is responsible for all taxes, fees, permits and duties relating to the purchase, importation, possession or use of the products unless otherwise stated in writing.

7. Payment

Payment must be made according to the payment terms stated in the applicable quotation, invoice or sales terms.

FC Materials may require:

  • full payment before delivery;
  • a deposit;
  • payment upon delivery;
  • staged payments; or
  • payment within an approved credit period.

Credit facilities are subject to approval and may be reviewed, reduced, suspended or withdrawn at any time.

Where an amount is overdue, FC Materials may:

  1. suspend pending deliveries;
  2. withhold product documentation;
  3. cancel or postpone existing orders;
  4. withdraw credit terms; and
  5. take reasonable steps to recover the unpaid amount.

Customers may not deduct or set off an amount against an invoice unless agreed by FC Materials in writing.

8. Minimum Orders and Packaging

Products may be subject to:

  • minimum-order quantities;
  • full-pack requirements;
  • supplier-specific packaging;
  • pallet quantities;
  • special import requirements; or
  • custom-production quantities.

The applicable requirements will be communicated through the quotation or sales terms.

FC Materials is not required to divide, repackage or supply a quantity below the applicable minimum unless agreed in writing.

9. Samples

Samples are supplied solely for evaluation, research, testing and product-development purposes.

Samples must not be:

  • resold;
  • offered for retail use;
  • used in commercial production without appropriate validation;
  • represented as a finished consumer product; or
  • used for human consumption unless expressly confirmed as suitable for that purpose.

A sample does not guarantee the future availability, price or characteristics of a commercial batch.

Natural ingredients and materials may differ slightly between batches in colour, odour, texture, appearance and other non-critical characteristics while remaining within the applicable specification.

10. Special and Custom Orders

Products that are specially sourced, imported, manufactured, repacked, customised or ordered specifically for a customer may require a non-refundable deposit.

Once procurement, production, importation, testing or repacking has begun, the order may not be cancelled unless FC Materials agrees otherwise in writing.

Cancellation charges may apply according to the applicable quotation or sales terms.

11. Specifications and Product Documentation

Products will be supplied according to the specification, description or grade confirmed in the relevant quotation, sales confirmation, product specification or certificate of analysis.

Available documents may include:

  • certificate of analysis;
  • product specification;
  • safety data sheet;
  • technical data sheet;
  • allergen statement;
  • Halal certificate;
  • country-of-origin statement;
  • manufacturing certification; and
  • other technical or regulatory documents.

Documentation remains subject to:

  1. availability from the manufacturer, supplier or principal;
  2. the applicable product, batch, manufacturing location and validity period;
  3. confidentiality restrictions;
  4. certification-body requirements; and
  5. the intended purpose of the document.

A certificate issued for one product, batch, grade or manufacturing location must not be treated as applying to another product, batch, grade or manufacturing location.

12. Product Testing and Suitability

The customer is responsible for determining whether each product is suitable for the intended:

  • formula;
  • manufacturing process;
  • dosage or concentration;
  • target consumer;
  • packaging;
  • shelf life;
  • storage condition;
  • market;
  • claim; and
  • finished-product application.

Before commercial production or sale, customers should conduct appropriate:

  • identity verification;
  • quality testing;
  • formulation testing;
  • compatibility testing;
  • stability testing;
  • pilot or production trials;
  • microbiological testing;
  • contaminant testing;
  • packaging evaluation;
  • finished-product testing; and
  • regulatory assessment.

A customer must not rely solely on samples, website information, supplier literature or preliminary technical advice when determining commercial suitability.

13. Regulatory Responsibility

The customer is responsible for ensuring that its formulation, finished product, label, packaging, advertisement, marketing claim, distribution and sale comply with all applicable laws and regulatory requirements.

Unless specifically included in a separate written service agreement, FC Materials does not guarantee:

  • NPRA registration or notification;
  • Ministry of Health approval;
  • JAKIM or other Halal certification;
  • approval of a product claim;
  • approval of a formulation;
  • acceptance by a laboratory or certification body;
  • compliance in a foreign market; or
  • commercial success of a finished product.

The customer remains responsible for obtaining all licences, approvals, registrations, notifications, permits and certifications required for its finished product and business activities.

14. Technical and Formulation Assistance

FC Materials may provide technical information, formulation suggestions, prototype assistance, processing guidance, recommended usage levels or regulatory support.

Such information is provided in good faith based on the information available and the requirements communicated by the customer.

Technical assistance does not replace:

  • the customer’s own testing and validation;
  • advice from a qualified scientist, regulatory consultant, medical professional or legal adviser;
  • trials conducted using the customer’s own equipment and process;
  • finished-product testing; or
  • independent regulatory assessment.

Results may differ because of processing conditions, equipment, raw-material combinations, packaging, storage, operator technique and other factors outside FC Materials’ control.

15. Delivery

Delivery conditions, charges, lead times and transfer of risk will be determined by the applicable quotation or sales terms.

Delivery dates are estimates unless expressly guaranteed in writing.

FC Materials is not liable for delays caused by:

  • supplier delays;
  • product shortages;
  • customs clearance;
  • permit requirements;
  • transport providers;
  • port congestion;
  • regulatory inspections;
  • weather;
  • natural disasters;
  • industrial action;
  • government restrictions; or
  • other circumstances outside our reasonable control.

The customer must provide a complete, accurate and accessible delivery address.

Additional delivery charges may apply where:

  • delivery is unsuccessful;
  • access is restricted;
  • redelivery is required;
  • special equipment is required; or
  • the customer changes the delivery instructions after dispatch.

16. Ownership and Risk

Ownership and risk in the products will be determined according to the applicable quotation or sales terms.

Unless otherwise stated:

  1. risk of loss or damage passes to the customer upon delivery to the nominated address or nominated carrier; and
  2. ownership remains with FC Materials until all amounts relating to the products have been paid in full.

Until ownership passes, the customer must store the products separately, protect them from loss or damage and identify them as products belonging to FC Materials where reasonably possible.

17. Inspection and Notification of Problems

Customers must inspect all products promptly after delivery.

Visible damage, leakage, incorrect products, incorrect quantities, packaging damage or other apparent non-conformity must be reported to FC Materials in writing within seven business days from the date of delivery.

The report should include:

  • invoice or delivery-order number;
  • product name;
  • batch number;
  • quantity affected;
  • photographs or videos;
  • condition of the outer and inner packaging; and
  • a clear description of the issue.

The affected product, packaging and label must be preserved for investigation.

The customer must not use, process, repackage, mix, dispose of or return the affected product until instructions are received from FC Materials.

Failure to notify FC Materials within seven business days may be treated as acceptance of the products, except where the defect could not reasonably have been discovered during the initial inspection.

18. Returns, Replacements and Refunds

All returns, replacements, refunds, credit notes and cancellation rights are subject to the applicable quotation or sales terms.

Products may only be returned with prior written authorisation from FC Materials.

Subject to the applicable quotation, sales terms and mandatory legal rights, products generally cannot be returned because of:

  • change of mind;
  • over-ordering;
  • incorrect product selection by the customer;
  • failure to obtain finished-product approval;
  • unsatisfactory performance in an untested formula;
  • incorrect processing by the customer;
  • improper storage or handling;
  • opened, processed, mixed or repacked products;
  • damaged packaging caused after delivery; or
  • expiry caused by the customer’s stock planning.

Where FC Materials confirms that a product did not comply with the agreed specification when risk passed to the customer, the available remedy will be determined according to the quotation or sales terms and may include:

  1. replacement of the affected product;
  2. issuance of a credit note;
  3. refund of the purchase price paid for the affected quantity; or
  4. another remedy agreed in writing.

19. Storage and Handling

Customers must comply with the relevant product label, specification, safety data sheet and storage instructions.

Customers are responsible for ensuring that products are:

  • stored at an appropriate temperature and humidity;
  • protected from direct sunlight and excessive heat;
  • protected from contamination and pests;
  • stored in suitable and properly sealed packaging;
  • handled by trained personnel;
  • kept away from incompatible substances;
  • used before the applicable expiry or retest date; and
  • handled according to applicable safety and environmental requirements.

FC Materials is not responsible for deterioration, contamination, loss or damage resulting from improper storage, transport, handling, processing or use after risk has passed to the customer.

20. Health and Product Claims

Website content concerning ingredients, nutrition, health, cosmetics, traditional use or product applications is provided for general educational and product-development purposes.

It is not medical advice and must not be interpreted as a representation that an ingredient or finished product can diagnose, treat, cure or prevent a disease.

Customers are responsible for ensuring that all health, nutritional, cosmetic, therapeutic and product claims are lawful, properly supported and permitted for the intended market.

21. Intellectual Property

The website and its contents, including text, photographs, graphics, videos, catalogues, formulations, presentations, product materials, trademarks, logos and website layout, are owned by or licensed to FC Materials.

Customers may view, download or print materials for legitimate internal evaluation and purchasing purposes.

Without prior written permission, users must not:

  • reproduce substantial portions of the website;
  • republish our catalogues or technical materials;
  • use FC Materials’ content on another commercial website;
  • remove copyright or ownership notices;
  • use our name or logo to imply endorsement;
  • copy our materials for a competing business;
  • modify certificates or technical documents; or
  • misuse third-party branded-ingredient names or trademarks.

Third-party trademarks and branded-ingredient names remain the property of their respective owners.

22. Website Accounts and Security

Where account functionality is available, users are responsible for maintaining the confidentiality of their usernames and passwords.

Users are responsible for activities performed through their accounts unless unauthorised access is reported promptly.

FC Materials may suspend or terminate an account where there is suspected:

  • unauthorised access;
  • fraud;
  • unlawful activity;
  • misuse of documentation;
  • breach of these Terms; or
  • risk to the website or other users.

23. Prohibited Use

Users must not:

  • attempt to gain unauthorised access to the website or systems;
  • introduce viruses, malware or harmful code;
  • interfere with website security or performance;
  • scrape or extract website data in bulk without permission;
  • submit false or misleading information;
  • impersonate another person or organisation;
  • use documentation fraudulently;
  • infringe intellectual-property rights; or

25. Disclaimer

To the extent permitted by law, the website and its content are provided on an “as available” basis.

FC Materials does not guarantee that:

  • the website will always be available;
  • the website will be free from errors or viruses;
  • all information will always be complete or current;
  • a listed product will be continuously available; or
  • a product will be suitable for a customer’s particular application.

Nothing on the website constitutes medical, legal or regulatory advice.

26. Limitation of Liability

To the extent permitted by law, FC Materials will not be liable for indirect, incidental, special or consequential losses, including:

  • loss of profit;
  • loss of production;
  • business interruption;
  • loss of contracts;
  • loss of goodwill;
  • loss of market opportunity;
  • product recall costs;
  • regulatory rejection; or
  • loss of anticipated savings.

Where liability cannot lawfully be excluded, FC Materials’ total liability relating to a product or transaction will, to the extent permitted by law, be limited to the amount paid for the specific product or service giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

27. Indemnity

The customer agrees to indemnify FC Materials against claims, losses, penalties, liabilities and reasonable costs arising from:

  • misuse or unsafe handling of a product;
  • unauthorised resale or repackaging;
  • a finished product manufactured, formulated, labelled or sold by the customer;
  • claims made by the customer without FC Materials’ written approval;
  • the customer’s breach of applicable laws;
  • the customer’s breach of these Terms; or
  • infringement of a third party’s rights by the customer.

This section does not apply to the extent that the loss was directly caused by FC Materials’ proven unlawful act, negligence or breach of contract.

28. Force Majeure

FC Materials is not responsible for failure or delay caused by circumstances beyond its reasonable control, including:

  • natural disasters;
  • epidemics;
  • war or civil disorder;
  • government action;
  • regulatory restrictions;
  • supplier or manufacturer interruption;
  • shortages of materials;
  • transport disruption;
  • port closure;
  • cyber incidents;
  • utility failure; or
  • industrial action.

FC Materials may extend delivery dates, allocate available stock, propose an alternative product or cancel the affected portion of an order.

29. Changes to These Terms

FC Materials may update these Terms from time to time.

The updated version will be published on the website with a revised “Last updated” date.

Changes will not retrospectively alter an order already accepted unless required by law or agreed in writing.

30. Governing Law and Disputes

These Terms are governed by the laws of Malaysia.

The parties should first attempt to resolve any dispute through good-faith discussions.

Where a dispute cannot be resolved, the courts of Malaysia shall have jurisdiction, subject to any different dispute-resolution procedure stated in the applicable quotation, sales terms or written agreement.
